Terms of Service

Welcome to Dlaw Agency. By using our website (dlawagency.com), our AI services (AIDA), or any of our products, you agree to these Terms of Service ("Terms"). Please read carefully.

1. About Dlaw Agency

Dlaw Agency ("we," "us") is an AI automation and web development agency based in Addis Ababa, Ethiopia, founded by Lawrence Nixon. We serve clients in Ethiopia and worldwide.

2. Our Services

We provide:

• AIDA — an AI receptionist deployed on Telegram, websites, and (optionally) WhatsApp
• Custom website design and development
• Google Business Profile setup
• AI configuration and ongoing maintenance
• Lead capture and reporting

3. Pricing & Payment

Our standard pricing (subject to change with 30 days notice):

• Setup fee: 22,000 ETB (~$130 USD), one-time, due at signing
• Monthly service fee: 15,000 ETB (~$90 USD), recurring
• Optional add-ons: Custom Website (+25,000 ETB), WhatsApp Integration (+50,000 setup + 10,000/month + API fees), AI Voice (coming Q2 2026)

Payment terms:

• 50% of setup fee due upon signing
• Remaining 50% due at go-live (when AIDA is operational)
• Monthly fee begins on go-live date and recurs monthly
• Accepted methods: Telebirr, CBE Birr, bank transfer, cash (Ethiopia); PayPal, Wise, international wire (worldwide)

Late payments may result in service suspension after 14 days.

4. Service Timeline

Setup typically takes 5–7 working days from receipt of deposit. Delays may occur if client information is incomplete or revisions are extensive. We will communicate any timeline changes proactively.

5. Client Responsibilities

To deliver services, you agree to:

• Provide accurate and complete business information for AIDA configuration
• Respond promptly to requests for content, approvals, or clarifications
• Use the service in compliance with applicable laws
• Not use AIDA for illegal, harmful, or fraudulent purposes
• Not attempt to reverse-engineer or replicate our systems
• Keep your account credentials and Telegram bot tokens secure

6. Intellectual Property

• You retain ownership of your business information, content, and customer data
• We retain ownership of our codebase, AIDA's core framework, and proprietary methods
• The website we build for you is licensed for your business use upon full payment

7. Cancellation

You may cancel monthly service at any time with 30 days written notice. Upon cancellation:

• AIDA service stops at the end of your current billing period
• We provide a full export of your conversation data and leads
• Your Telegram bot and website remain yours
• Setup fees are non-refundable

We may terminate service for non-payment, misuse of the platform, or violation of these Terms.

8. Service Availability

We aim for 99% uptime for AIDA. However, we cannot guarantee uninterrupted service due to factors outside our control (internet outages, third-party API downtime, Meta/Telegram platform issues, etc.).

If extended downtime (over 48 hours) occurs due to our infrastructure, we will credit your account proportionally.

9. Limitation of Liability

Our maximum liability for any claim is limited to the total amount you paid in the 12 months preceding the claim.

We are not liable for:

• Customer interactions handled by AIDA (you are responsible for AIDA's configured responses)
• Indirect, consequential, or lost-profit damages
• Issues caused by third-party services (Telegram, WhatsApp, payment processors, etc.)
• Loss of data due to client error or third-party breaches outside our control

10. Indemnification

You agree to indemnify Dlaw Agency against any claims arising from your use of the service, including claims from your customers about AIDA's responses or your business operations.

11. Privacy

Your data is handled per our Privacy Policy. By using our services you consent to that policy.

12. Modifications to Terms

We may update these Terms. Significant changes will be communicated via email or WhatsApp with at least 30 days notice. Continued use after changes constitutes acceptance.

13. Governing Law & Disputes

These Terms are governed by the laws of the Federal Democratic Republic of Ethiopia. International clients may also be subject to their local laws as applicable. Disputes resolved first through good-faith discussion, then arbitration in Addis Ababa or a mutually agreed jurisdiction.

14. Entire Agreement

These Terms, along with our Privacy Policy and any signed service agreement, constitute the entire agreement between you and Dlaw Agency.
